Welcome to Binal Technologies Limited ("Provider", "we", "us", or "our"). We offer a suite of cloud-based software solutions and related digital services (collectively, the "Services"). By creating an account, digitally signing a service proposal, or otherwise accessing our platforms, the client or user ("Client", "you", or "your") agrees to be bound by these Terms of Use. If you do not agree to these terms, you must not access or use our Services.
1. DESCRIPTION OF SERVICES
Binal Technologies provides a multi-product digital ecosystem, which includes, but is not limited to:
- Edu-Slick: A comprehensive School Management System encompassing academic tracking, finance management, and Smart Attendance Tracking (SAT).
- DECAS: A Computer-Based Testing (CBT) and assessment platform capable of both online and offline test administration.
- Jobcleek: An employment, recruitment, and Human Resources management platform.
2. ACCOUNT ACCESS & ARCHITECTURE
- 2.1 Centralised Identity (SSO): We utilise a centralised authentication infrastructure. By creating an account, you agree that your basic administrative credentials will be securely synced across the Binal Technologies ecosystem, allowing seamless navigation between permitted Services.
- 2.2 Data Isolation: Depending on your deployment model, your operational data is housed either in a logically separated multi-tenant cloud environment or a physically distinct, customised single-tenant database. Under no circumstances is Client data merged with or accessible by unauthorised third-party institutions.
- 2.3 Account Security: You are responsible for maintaining the confidentiality of your login credentials and ensuring Two-Factor Authentication (2FA) is utilised where applicable.
3. PRODUCT-SPECIFIC COMPLIANCE ADDENDUMS
Because our Services process different categories of data, the following specific rules apply based on the platforms you utilise:
- 3.1 Edu-Slick (Minors' Data & SAT Protocol):
- Consent: As Edu-Slick processes the data of minors, you legally warrant that you have obtained all necessary, documented consent from parents or legal guardians prior to uploading student data.
- SAT ID Provisioning: For the Smart Attendance Tracking (SAT) module, Binal Technologies provides unique, encrypted digital QR profiles. We supply print-ready softcopies only. The Client is solely responsible for the physical printing and distribution of hardcopy ID cards to staff and students.
- 3.2 DECAS (Offline Exams & Data Synchronisation):
- DECAS permits the administration of assessments in an offline local environment. The Client acknowledges that exam data remains temporarily stored on the Client's local hardware until the Client's Administrator explicitly initiates the online synchronisation function.
- The Client is solely responsible for the physical security and malware protection of local devices prior to cloud synchronisation. Binal Technologies shall not be liable for data lost due to local hardware theft, device failure, or the Administrator's failure to sync data.
- 3.3 Jobcleek (Employment Data & Direct Registration):
- For Employers: You agree to utilise candidate data strictly for authorised recruitment purposes and remain responsible for ensuring your data retention practices comply with relevant local labour laws.
- For Applicants: By registering directly on Jobcleek, you authorise Binal Technologies to host your professional profile. You acknowledge that when you submit an application to a specific employer through our platform, that employer becomes an independent Data Controller of the data you submitted to them.
4. DATA PROTECTION (NDPA 2023 COMPLIANCE)
- 4.1 Legal Roles: Under the Nigeria Data Protection Act (NDPA) 2023, legal roles depend on the user journey. Binal Technologies acts as the Data Processor for operational data uploaded by institutional clients (e.g., Schools using Edu-Slick or Employers using Jobcleek). However, Binal Technologies acts as the Data Controller for users who register directly onto our platforms independently (e.g., Job seekers creating a Jobcleek profile prior to applying for roles, or schools submitting billing details).
- 4.2 Cross-Border Processing: To provide highly reliable Services, we utilise secure international cloud infrastructure (e.g., Hostinger). The Client acknowledges and consents that Client data may be processed, hosted, and backed up on secure servers located outside the Federal Republic of Nigeria.
- 4.3 Data Archiving & Purging: To conserve server resources and maintain compliance with data minimisation principles, we reserve the right to permanently delete inactive or archived user data in accordance with our data retention policies, or upon account dormancy exceeding twelve (12) months.
5. SUBSCRIPTIONS, BILLING & MAINTENANCE
- 5.1 SaaS Subscriptions: For multi-tenant SaaS deployments, subscriptions are billed in advance. Your subscription will automatically renew using the payment method on file unless cancelled via your billing dashboard prior to the renewal date. Upgrades take effect immediately; downgrades take effect at the start of the next billing cycle.
- 5.2 Custom Deployments & TFR Credits: For legacy or single-tenant customised deployments, continued portal access and cloud hosting are contingent upon the active purchase of TFR (Termly Financial Requirement) Credits in lieu of standard subscription maintenance fees.
- 5.3 Non-Payment: Failure to process subscription renewals or purchase required TFR credits for two (2) consecutive academic terms or billing cycles will result in the immediate suspension of portal access and technical support.
6. ACCEPTABLE USE POLICY
You agree not to use the Services to upload malicious code, attempt to reverse-engineer the platforms, share or sell student/staff data for unauthorised commercial marketing, or use the Services for any fraudulent or illegal purpose under Nigerian law.
7. INTELLECTUAL PROPERTY
Binal Technologies Limited retains all Intellectual Property Rights to the software, source code, UI/UX designs, and underlying architecture of our ecosystem. This Agreement grants a revocable licence to use the software; it does not constitute a sale of the software. The Client retains sole ownership of all inputted personal and operational data.
8. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, the Services are provided "AS IS" and "AS AVAILABLE". Binal Technologies Limited shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, business interruption, or data loss arising from your use of the platforms. Our total cumulative liability under this Agreement shall not exceed the total amount paid by the Client to the Provider in the six (6) months preceding the claim.
9. GOVERNING LAW & DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts located in Lagos State, Nigeria.
